General Liability Waiver and Release of Liability and Solid Gym Policies for Solid Gym LLC

BUYER'S RIGHT TO CANCEL (IOWA CODE §552.5) You may cancel this agreement without any penalty or further obligation within three (3) business days from the date you sign this agreement or receive a copy of it, whichever is later.

If you cancel, any payments made by you under the agreement, less twenty dollars ($20.00), and any negotiable instrument executed by you will be returned within forty-five (45) days following receipt by the Gym of your cancellation notice, and any security interest arising out of the transaction will be canceled.

To cancel this agreement, mail or deliver a signed and dated copy of the following cancellation notice or any other written notice to Solid Gym LLC at 391 Highland Ave, Iowa City, IA 52240:

Acknowledgment of Risks, Assumption of Risk, and Release of Liability:

I, the undersigned, wish to participate in weightlifting, fitness activities, and other amenities at Solid Gym (hereinafter referred to as “the Gym”), including but not limited to the use of the sauna (which may reach temperatures up to 220 degrees Fahrenheit) and the cold plunge (which may reach temperatures down to 34 degrees Fahrenheit). I understand that participating in these activities involves inherent risks, including but not limited to:

• Physical injury, such as muscle strains, sprains, tears, fractures, or other musculoskeletal injuries. • Risk of serious injury, including permanent disability or death, due to improper use of equipment, overexertion, or accidents.

• Risks associated with the use of heavy weights, gym equipment, training surfaces, sauna, or cold plunge, including equipment malfunction or failure.

• Risks of slips, trips, or falls due to wet or uneven surfaces, crowded conditions, or negligence of other participants.

• Potential for aggravation of pre-existing medical conditions or unforeseen health issues, such as heart attack, stroke, heat-related illnesses (e.g., heat exhaustion, heat stroke, dehydration), cold-related illnesses (e.g., hypothermia, frostbite), dizziness, fainting, burns, or cardiovascular strain.

• Specific risks from sauna use, including exposure to extreme heat, increased heart rate, or dehydration.

• Specific risks from cold plunge use, including exposure to extreme cold, shock to the body, or respiratory distress.

• Risks associated with exposure to communicable diseases, viruses, bacteria, or infections that may be present in shared facilities, equipment, or amenities, including the sauna and cold plunge areas.

I acknowledge that this list is not exhaustive, and other unknown or unanticipated risks may result in injury, illness, or death. I further acknowledge that use of the sauna and cold plunge is entirely at my own risk, and any misuse or resulting health issues arising from such use shall be my sole responsibility.

Sauna and Cold Plunge Specific Guidelines: I acknowledge that use of the sauna and cold plunge carries additional risks, particularly for individuals with conditions such as pregnancy, heart disease, high blood pressure, respiratory issues, or intoxication. I agree to limit my time in the sauna or cold plunge as recommended (e.g., no more than 15-20 minutes in the sauna, gradual exposure in the cold plunge no longer than 10 minutes), stay hydrated, and avoid use if under the influence of alcohol or medications that impair judgment or thermoregulation. I have been advised to consult a physician regarding my suitability for these amenities.

Assumption of Risk: I voluntarily assume all risks, known and unknown, associated with my participation in activities at the Gym, including the use of equipment, facilities (including sauna and cold plunge), and participation in classes or training sessions, whether supervised or unsupervised. This Gym offers 24/7 or unsupervised access, I acknowledge that use during such periods is at my sole risk. I understand that it is my responsibility to consult with a physician before engaging in physical activities at the Gym, including use of the sauna or cold plunge, and to ensure that I am physically capable of participating.

Release of Liability: In consideration of being permitted to use the Gym’s facilities, equipment, and services, I, for myself, my heirs, executors, administrators, and assigns, hereby release, waive, discharge, and covenant not to sue Solid Gym LLC, its owners, officers, employees, contractors, volunteers, or agents (collectively, “the Released Parties”) from any and all liability, claims, demands, actions, or causes of action arising out of or related to any loss, damage, injury, or death that may be sustained by me while participating in activities at the Gym, whether caused by the negligence of the Released Parties or otherwise. This release does not extend to claims arising from gross negligence, recklessness, willful misconduct, or intentional acts of the Released Parties, to the extent such exclusion is required by applicable law.

Indemnification: I agree to indemnify and hold harmless the Released Parties from any loss, liability, damage, or cost, including reasonable attorney’s fees, they may incur due to my participation in activities at the Gym, whether caused by my negligence or otherwise.

Personal Property Disclaimer: The Gym is not responsible for any loss, theft, damage, or destruction of personal property brought onto the premises, including items left in lockers, vehicles, or common areas. Members are advised to secure valuables and use the facilities at their own risk regarding personal belongings.

Equipment Use and Safety: I agree to use all Gym equipment and facilities, including the sauna and cold plunge, in a safe and proper manner, following any posted rules, instructions, or guidance provided by the Gym staff. I understand that failure to follow safety guidelines may increase the risk of injury to myself or others. I agree to inspect equipment before use and to immediately report any damaged or malfunctioning equipment to Gym staff.

Health Representation: I represent that I am in good physical health and have no medical conditions that would prevent me from safely participating in activities at the Gym, including use of the sauna or cold plunge. I agree to immediately stop any activity and inform Gym staff if I experience symptoms such as dizziness, chest pain, shortness of breath, or discomfort.

Acknowledgment of Gym Rules: I acknowledge that I have received, read, and agree to abide by a complete copy of the Gym’s rules and policies (provided separately or posted in the facility), including but not limited to guidelines for equipment use, facility conduct, hygiene protocols, and specific restrictions for the sauna and cold plunge.

Emergency Medical Authorization: In the event of an emergency, I authorize Gym staff to secure appropriate medical treatment on my behalf, while understanding that the Gym assumes no responsibility for any associated costs or outcomes.

Membership Financial Terms and Conditions: All monthly recurring payments shall be charged on the 1st of each month. All memberships are subject to a 30-day cancellation notice period (in addition to the statutory three-business-day right). Membership management, including but not limited to cancellations, freezes, changes to membership levels, and updates to payment information, shall be at the managed by the member and must be initiated and completed through the Gymdesk app or as otherwise specified by the Gym. In the event of a failed payment for any reason, including insufficient funds, expired payment method, or other issues, access to the Gym facilities and services will be suspended until the outstanding balance is paid in full. The Gym reserves the right to attempt reprocessing of failed payments and to assess any applicable fees permitted under law. Members acknowledge that these terms comply with applicable Iowa regulations governing physical exercise club contracts (Iowa Code Chapter 552), including provisions related to contract duration (not exceeding 36 months), renewal (no automatic renewal without explicit consent), and consumer rights.

No Waiver of Statutory Rights: Nothing in this agreement shall be construed as a waiver of any rights or protections afforded to me under Iowa Code Chapter 552 or any other applicable law.

Photo/Video Release: I grant the Gym permission to use photographs or videos of me taken during activities at the Gym for promotional or marketing purposes, without compensation.

Severability: I agree that if any portion of this waiver is found to be void or unenforceable, the remaining portions shall remain in full force and effect .

Governing Law : This agreement shall be governed by and construed in accordance with the laws of the State of Iowa.

Acknowledgment of Understanding: I have read this waiver and release of liability in its entirety, fully understand its terms, and understand that I am giving up substantial rights, including my right to sue. I acknowledge that I am signing this agreement freely and voluntarily and intend it to be a complete and unconditional release of all liability to the greatest extent allowed by law. This agreement may be executed electronically, and electronic signatures shall have the same force and effect as original signatures.

For Minors (Under 18 Years of Age) If the participant is under 18 years of age, a separate waiver must be signed by a parent or legal guardian. The undersigned parent or legal guardian acknowledges the risks outlined above on behalf of the minor and agrees to the terms of this waiver, including the release and indemnification provisions, to the fullest extent permitted by Iowa law.
